1. Service Overview and Acceptance of Terms

Tareflo is a high-performance productivity solution for task management, Kanban workflows, rich-text notes and team collaboration.

These Terms of Service ("Terms") constitute a legally binding agreement between you (individual or corporate entity) and Tareflo ("Service", "we" or "Platform"). By creating an account or using the Platform, you acknowledge that you have read, understood and agreed to these Terms and our Privacy Policy.

2. Accounts, Security and Workspace Management

To use Tareflo, you must register by providing accurate, complete and current information. Accounts may be created by individuals of legal capacity or authorized corporate representatives.

2.1 Account Responsibility and Credentials

You are solely responsible for safeguarding your password and account credentials, and for all activities that occur under your account.

2.2 Workspace Management, Members and Roles

The Workspace creator is assigned the OWNER role and holds ultimate management authority over members, invitations, roles and billing. Users designated as ADMIN or MEMBER must operate within configured permission boundaries.

2.3 Prohibited Uses and Unlawful Conduct

You agree not to: (a) violate applicable laws or regulations; (b) circumvent plan limits, authentication or security mechanisms; (c) reverse engineer, decompile or scrape without authorization; (d) flood or disrupt infrastructure with abusive traffic or DDoS attacks.

3. User Content and Attachment Policy

You retain all intellectual property rights to the content you post on the platform ("User Content"). You grant Tareflo only the limited license necessary to host, process and display your content to authorized members in your Workspace.

Tareflo does not claim ownership over your tasks, notes, boards or files. You retain full ownership and sovereignty over your content.

3.1 Attachment Policy and Disclaimer on Files

You are solely and exclusively responsible for the legality, integrity, copyright permissions and content of all files attached to your tasks and notes. Uploading malicious code (viruses, malware), illicit, defamatory, infringing or confidential third-party material without authorization is strictly prohibited. Tareflo reserves the right to remove any attachment or immediately suspend user accounts without prior notice or liability in the event of legal violation or judicial order.

4. Subscriptions, Per-Seat Billing and Payments

Access to advanced, unlimited capabilities is provided through paid subscriptions. All billing and payment processing is operated by Stripe.

4.1 Plans and Resource Limits

The Free plan provides access to 1 Workspace, up to 2 members, up to 30 simultaneous active tasks, 3 Kanban flows, 10 notes and file uploads up to 5 MB per attachment. The Pro plan removes all limits on members, tasks, flows, notes and workspaces, increases attachment limits to 50 MB per file, and includes the full Analytics Dashboard.

4.2 Per-Seat Billing and Prorations

On the Pro plan, billing is calculated based on the number of active seats/members in the Workspace ($19.90/month per seat). When inviting and adding new members during an active billing cycle, the prorated amount for remaining cycle days is automatically computed and charged via Stripe. Removing members adjusts subsequent renewal invoices.

4.3 Cancellation and Refund Policy

You can cancel your Pro subscription at any time via your billing settings. Cancellation stops future renewals and your plan remains active until the end of the paid monthly cycle. In accordance with applicable statutory law (such as Art. 49 of the Consumer Defense Code), a full refund is guaranteed for cancellations requested within 7 (seven) days of initial purchase; after this period, no prorated refunds apply for partial periods or unused seats.

5. Limitation of Liability and Damages Cap

Under no circumstances shall Tareflo, its directors, employees, affiliates or partners be liable for any indirect, incidental, punitive, special or consequential damages, including loss of profits, revenue, data, business interruption or commercial losses arising out of the use or inability to use the platform, even if advised of the possibility of such damages.

In any event where civil liability is found against Tareflo by a final court judgment, the total aggregate liability shall be strictly capped at the total amount actually paid by the user to Tareflo during the 3 (three) months immediately preceding the event giving rise to the claim.

6. Disclaimer of Warranties and Availability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, non-infringement or uninterrupted uptime (no contractual SLA).

Tareflo reserves the right to improve, update or modify platform features, as well as adjust pricing for new subscription cycles with prior user notice.

7. Governing Law and Dispute Resolution

These Terms are governed and construed in accordance with the laws of the Federative Republic of Brazil. The parties agree to the exclusive jurisdiction and venue of the corporate headquarters district court for any disputes arising from this agreement.
